QUOTES, ORDERS & ACCEPTANCE
Quotes are valid for 7 days unless otherwise stated.
Acceptance of a quote (including by electronic approval, email confirmation, purchase order or payment) constitutes an order and acceptance of these Terms.
Upon acceptance, a binding agreement is formed and the goods or services described will be supplied subject to these Terms and, where applicable, our Master Service Agreement (MSA).
Where a signed MSA exists, it prevails to the extent of any inconsistency with these Terms.
Prices and availability are subject to supplier or currency changes prior to acceptance. Freight and setup charges may apply.
Changes requested after acceptance must be confirmed in writing and may incur additional fees at current rates.
By accepting a quote, you acknowledge that all goods and services are supplied under these Terms, which form part of our standard terms of trade.
PAYMENT TERMS
Invoices are issued in accordance with the payment schedule stated in the quote or MSA.
Unless otherwise stated, payment is due within 5 days of the invoice date.
Payment must be made in full without any set-off or deduction.
Services may be paused or suspended if payment is not received by the due date.
Late payments may attract administrative or interest charges as permitted under Australian law.
Setup or onboarding fees (if applicable) are payable in advance.
SERVICE DELIVERY & WARRANTIES
We will deliver services with due care, skill and diligence consistent with industry standards.
Hardware is covered by the manufacturer’s warranty unless otherwise specified.
Software licences and subscriptions are subject to vendor terms and conditions (for example, Microsoft 365 or WatchGuard).
We are not liable for delays or supply issues outside our reasonable control.
INTELLECTUAL PROPERTY RIGHTS
All intellectual property on this site—including text, graphics, logos, icons, images, software and layout—is owned or licensed by Virtual IT.
You must not reproduce, distribute, adapt or use any part of our site content without our prior written permission.
All documentation, templates, configurations and other materials created by Virtual IT for clients remain our intellectual property unless otherwise agreed in writing.
Clients are granted a non-transferable licence to use such deliverables solely for their internal business operations.
ACCEPTABLE USE
All users must comply with our Acceptable Usage Policy.
You must not use our site, systems or services for unlawful, abusive or disruptive activities.
We may restrict or suspend access if usage breaches these Terms or applicable law.
VIRUSES, HACKING & OTHER OFFENCES
You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other malicious or technologically harmful material.
You must not attempt unauthorised access to our site, server, or any computer or database connected to our site.
Any breach will be reported to relevant law-enforcement authorities and we will cooperate by disclosing identifying information if required.
We are not liable for any loss or damage caused by viruses or other harmful material that may infect your equipment, programs or data due to your use of our site.
We implement reasonable security measures to protect our systems but cannot guarantee that our site will be free from security risks.

JURISDICTION AND APPLICABLE LAW

You and we agree that the courts of Victoria will have exclusive jurisdiction.
TRADE MARKS
Virtual IT Managed Services®, VITMS and our Company Logo’s are Australian registered trade marks of Virtual IT Managed Services Pty Ltd.
You are not permitted to use these marks without our prior written consent.
Other product and company names on our site are the property of their respective owners.
VARIATIONS (Amendments and Version Control)
We may revise these Terms at any time by updating this page.
The version in effect at the time you accept a quote or order governs that engagement.
Material changes will be notified via our site or by email where appropriate.
You should review this page periodically to ensure you understand the Terms that apply at that time.
TERMINATION & RENEWAL (of Services)
Either party may terminate services in accordance with the MSA or, if no MSA exists, by giving 90 days’ written notice for recurring managed-service agreements.
Termination does not relieve either party of obligations to pay for services rendered up to the termination date.
Upon termination, Virtual IT will provide reasonable transition assistance at the Client’s cost unless otherwise agreed.
